Please read these Terms of Use carefully before using this website.
These Terms of Use (these “Terms”) are between Dairy LLC DBA BoviSync (“BoviSync,” “we,” “us,” or “our”), and any person who accesses or uses BoviSync websites that link to these Terms (“you” or “your”).
By accessing or using the website, you agree to these Terms and applicable law.
If you do not agree, do not use the website.
Scope of These Terms
These Terms apply only to non-logged-in portions of BoviSync websites, including marketing pages, public informational pages, and other public website content.
Logged-in use of the BoviSync software platform, mobile applications, web applications, APIs, and related services is governed by the BoviSync End User License Agreement.
The BoviSync Privacy Policy explains how we collect, use, disclose, and protect information when you use our websites, applications, and services.
Farm Data
If you use BoviSync herd-management software or other logged-in BoviSync services, your Farm Data rights are described in the BoviSync End User License Agreement.
In summary, Farm Data belongs to the Farm, and BoviSync does not sell Farm Data as a standalone dataset.
These Terms do not modify, waive, or reduce the Farm Data protections in the End User License Agreement.
Website Use
You may use the website only for lawful purposes and in compliance with these Terms.
You may not:
- violate any applicable law;
- interfere with website operation or security;
- attempt to gain unauthorized access to systems, accounts, or data;
- use bots, scraping, crawlers, or similar automated tools without written permission;
- copy, modify, distribute, sell, or exploit website content without authorization;
- misrepresent your identity or affiliation;
- upload malicious code; or
- use the website in a way that harms BoviSync, customers, users, or third parties.
Intellectual Property
The website and its content are owned by BoviSync or its licensors and are protected by intellectual-property and other laws.
This includes text, graphics, images, video, code, designs, features, trademarks, service marks, trade names, logos, and other content.
You may not copy, modify, distribute, display, sell, license, or exploit website content without BoviSync’s written permission, except where allowed by law.
No rights are granted except the limited right to access and use the website under these Terms.
Feedback
If you provide comments, suggestions, ideas, or feedback about the website or BoviSync services, you grant BoviSync a non-exclusive, worldwide, royalty-free right to use that feedback without restriction or compensation.
Feedback does not include Farm Data. Farm Data is governed by the End User License Agreement.
Mobile Access
Some website or service features may be available through mobile devices. Carrier rates and data charges may apply.
Mobile features may not work on all devices or networks.
Third-Party Links
The website may link to third-party websites, services, resources, or content.
BoviSync does not control and is not responsible for third-party websites, services, privacy practices, security, content, or availability.
You access third-party websites and services at your own risk.
Privacy
The BoviSync Privacy Policy is incorporated into these Terms.
By using the website, you agree that information may be collected and used as described in the Privacy Policy.
Disclaimers
The website is provided on an “as is” and “as available” basis.
BoviSync does not guarantee that the website will be uninterrupted, error-free, secure, accurate, complete, or current.
Website content is provided for general informational purposes only and should not be treated as professional, veterinary, financial, legal, or operational advice.
Limitation of Liability
To the maximum extent allowed by law, BoviSync will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to use of the website.
Your sole remedy for dissatisfaction with the public website is to stop using the website.
Nothing in these Terms limits any Farm Data rights or remedies provided in the End User License Agreement.
Indemnity
You agree to defend, indemnify, and hold harmless BoviSync and its officers, directors, employees, contractors, agents, licensors, and service providers from claims, damages, liabilities, costs, and expenses arising out of your violation of these Terms or misuse of the website.
Changes to These Terms
BoviSync may update these Terms from time to time by posting an updated version.
Continued use of the website after updated Terms are posted means you accept the updated Terms.
No update to these Terms may override or materially weaken the Farm Data protections in the End User License Agreement.
Governing Law, Binding Arbitration, and Class Action Waiver
These Terms are governed by Wisconsin law, without regard to conflict-of-law rules.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or use of the website will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will be seated in Dane County, Wisconsin, and may be conducted by videoconference where appropriate. Judgment on the award may be entered in any court of competent jurisdiction.
Interim relief. Either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction in Dane County, Wisconsin in aid of arbitration, to preserve the status quo or prevent irreparable harm pending the arbitrator's decision, without waiving the agreement to arbitrate.
Class action waiver. All disputes will be arbitrated on an individual basis. Neither party may participate in a class, consolidated, or representative action, and the arbitrator may not consolidate claims of multiple persons without all parties' consent. If any court finds the class action waiver unenforceable as to a particular claim, that claim will proceed in court and the remainder of this arbitration agreement will continue in effect.
Fees. Each party bears its own attorney's fees and costs. Arbitration administrative fees will be allocated according to the applicable AAA rules unless the arbitrator determines otherwise.
Claims must be brought within one (1) year after the claim arises, unless applicable law does not allow that limitation.
Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
